Terms & Conditions
These terms govern access to and use of the RxTerminal service provided by Strixon Ltd to Strixon Ltd.
1. Parties
Strixon Ltd — company number 16475557, 3 Tamworth Road, Newcastle Upon Tyne, NE4 5AJ ("Strixon", "we", "us").
Strixon Ltd — the organisation that has subscribed to use the RxTerminal service ("Client", "you").
2. The Service
RxTerminal is a software-as-a-service queue management platform providing:
- A customer-facing kiosk interface for self-service queue entry
- A staff dashboard for real-time queue management
- A manager portal for service configuration and reporting
- An administration interface for multi-site management
The service is delivered via the internet and accessed through a web browser. Strixon reserves the right to update, modify, or improve the service at any time. Where a change materially affects functionality, reasonable notice will be given.
3. Subscription and Access
Access to RxTerminal is granted on a subscription basis. Subscription tiers, pricing, and included features are as agreed in the relevant order form or written agreement. The Client is responsible for ensuring all users comply with these terms. Credentials must not be shared between individuals.
4. Permitted Use
The Client may use RxTerminal solely for managing customer queues and related organisation operations. The Client must not:
- Resell, sublicence, or transfer access to the service to any third party
- Attempt to reverse-engineer, decompile, or extract source code
- Use the service in any manner that violates applicable law or regulation
- Introduce malicious code or perform penetration or load testing without prior written consent
5. Client Responsibilities
The Client is responsible for:
- Ensuring kiosk devices are physically secured within the organisation premises
- Revoking device and user access promptly when staff leave or devices are decommissioned
- Maintaining appropriate network connectivity for the service to function
- Complying with all applicable laws and regulations
- Acting as Data Controller for all customer data processed via the service
The Client must promptly notify Strixon of any suspected security incident at security@strixon.co.uk.
6. Data Processing
Strixon acts as a Data Processor for customer and staff data managed within the platform. The Client acts as the Data Controller. Processing is governed by a separate Data Processing Agreement.
7. Availability and Support
Strixon targets a service availability of 99.5% measured monthly, excluding planned maintenance windows.
Support is provided by email to contact@strixon.co.uk during normal UK business hours, Monday to Friday, 09:00–17:30, excluding public holidays.
8. Intellectual Property
All intellectual property rights in RxTerminal remain the exclusive property of Strixon Ltd. The Client is granted a limited, non-exclusive, non-transferable licence to access and use the service during the subscription term.
The Client retains ownership of all data inputted into the service.
9. Confidentiality
Each party agrees to keep confidential any proprietary or sensitive information disclosed by the other party and not to disclose such information to any third party without prior written consent, except as required by law.
10. Fees and Payment
Subscription fees are as set out in the agreed order form. Invoices are issued in advance of each billing period; payment is due within 14 days of invoice date. Late payment may result in suspension after 7 days' written notice. Fees are exclusive of VAT.
11. Term and Termination
These terms commence on the date the Client first accesses the service and renew automatically unless either party provides written notice of non-renewal at least 30 days before the end of the current period.
On termination, Client Data will be retained for 30 days to allow data export, then deleted in accordance with Strixon's data retention policy.
12. Limitation of Liability
Strixon's total aggregate liability shall not exceed the total fees paid by the Client in the 12 months preceding the event giving rise to the claim. Strixon shall not be liable for any indirect, consequential, or punitive loss.
13. Indemnity
The Client shall indemnify Strixon against claims arising from the Client's breach of these terms, breach of applicable data protection law, or unauthorised use of the service by the Client's users or devices.
14. Governing Law
These terms are governed by the laws of England and Wales. Any dispute shall be subject to the exclusive jurisdiction of the courts of England and Wales.
